These Terms of Service ("Terms") govern your access to and use of the Orqestr platform, website, and related services (collectively, the "Service") operated by Orqestr ("Orqestr," "we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. Definitions
- "Account" means your registered Orqestr account.
- "Workspace" means a personal or organizational container within the Service that holds your projects, agents, and data.
- "Project" means a grouping of agents, tasks, schedules, integrations, and knowledge within a workspace.
- "Agent" means an AI-powered entity you configure within the Service to perform tasks.
- "Run" means a single execution of an agent or orchestration workflow.
- "Content" means any data, text, prompts, configurations, knowledge items, artifacts, or other materials you submit to the Service.
- "Output" means any content generated by the Service, including agent responses, artifacts, and task results.
2. Eligibility
You must be at least 16 years old to use the Service. By creating an account, you represent that you meet this age requirement. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
3. Accounts and Workspaces
3.1 Registration
You must provide accurate and complete information when creating an account. You are responsible for maintaining the confidentiality of your login credentials and for all activities under your account.
3.2 Workspaces and Teams
You may create personal and organizational workspaces. If you create an organizational workspace and invite team members, you are responsible for managing member access and roles. Workspace owners and admins control member permissions and can remove members at any time.
3.3 API Keys
You may generate API keys for programmatic access to the Service. API keys carry the same level of access as your account. You are solely responsible for safeguarding your API keys and liable for any use of the Service through them.
4. Service Description
Orqestr is an AI agent orchestration platform. The Service allows you to:
- Define and configure AI agents with custom prompts, models, and parameters.
- Create tasks that are automatically reviewed, prioritized, and assigned to agents by the orchestration system.
- Set up recurring schedules and event-based triggers to automate task creation.
- Connect third-party tools and services via integrations (MCP servers, APIs, and managed connectors).
- Agents collaborate dynamically, create subtasks, produce artifacts, and interact with connected tools on your behalf.
The Service relies on third-party large language model (LLM) providers for AI inference. Agent outputs are generated by these models and are not reviewed, verified, or guaranteed by Orqestr.
5. Subscription Plans and Billing
5.1 Plans
The Service is offered in multiple subscription tiers (including a free tier) with varying resource limits, features, and included AI usage credits. Plan details and pricing are available on our website and may change over time.
5.2 Billing
Paid subscriptions are billed in advance on a recurring basis through our payment processor, Paddle. By subscribing, you authorize Paddle to charge your designated payment method. All fees are exclusive of taxes unless stated otherwise.
5.3 Metered Usage and Overage
Each plan includes a monthly AI usage credit. Usage beyond the included credit is billed as overage at current rates. Overage charges are settled automatically at the end of each billing period. You can set optional spending caps to limit your monthly expenditure.
5.4 Bring Your Own Key (BYOK)
Eligible plans allow you to provide your own OpenRouter API key. When BYOK mode is enabled, LLM inference costs are billed directly by OpenRouter to you. Orqestr does not charge a margin on BYOK usage but platform tool costs (such as web search) remain billed through Orqestr. You are responsible for the security and billing of your own API key.
5.5 Free Tier Limitations
Free-tier accounts are subject to weekly run limits, a fixed AI model, and restricted access to premium features. These limits may be adjusted at our discretion.
5.6 Cancellation and Refunds
You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. Except as required by applicable law, all fees are non-refundable and we do not provide refunds for partial billing periods. Unused included credits do not roll over.
6. Your Content
6.1 Ownership
You retain all rights to the Content you submit to the Service. Orqestr does not claim ownership of your Content.
6.2 License Grant
By submitting Content, you grant Orqestr a limited, non-exclusive, worldwide license to use, process, store, and transmit your Content solely to operate and provide the Service. This includes sending your Content to third-party LLM providers for inference and to connected integrations as directed by your agent configurations.
6.3 Outputs
As between you and Orqestr, you own the Outputs generated by the Service from your Content, subject to any rights of third parties whose content may have been used in training the underlying models. You are solely responsible for reviewing, verifying, and using Outputs. Due to the nature of AI systems, outputs may not be unique and the Service may generate the same or similar outputs for other users.
7. Acceptable Use
You agree not to use the Service to:
- Violate any applicable law, regulation, or third-party rights.
- Generate, distribute, or facilitate content that is illegal, harmful, threatening, abusive, defamatory, obscene, or otherwise objectionable.
- Engage in or facilitate fraud, phishing, spam, or deceptive practices.
- Attempt to gain unauthorized access to the Service, other accounts, or connected systems.
- Reverse-engineer, decompile, or attempt to extract the source code of the Service.
- Interfere with or disrupt the integrity or performance of the Service.
- Use agents to perform automated actions on third-party services in violation of those services' terms of use.
- Circumvent usage limits, billing controls, or access restrictions.
- Use the Service to develop competing products or benchmark the Service for competitive purposes.
7.1 AI Use Policy
In addition to the general restrictions above, you agree not to use the Service's AI agents or orchestration capabilities to:
- Spam or bulk messaging — deploy agents that send unsolicited messages, emails, comments, or communications at scale.
- Malware or harmful code — generate, distribute, or facilitate the creation of malware, viruses, ransomware, exploits, or any software designed to damage, disable, or gain unauthorized access to systems.
- Illegal scraping or data harvesting — use agents to systematically scrape, crawl, or extract data from third-party services in violation of their terms of service, applicable law, or without proper authorization.
- Impersonation or deception — create agents that impersonate real individuals, organizations, or government entities, or generate content designed to mislead others about its origin or authorship.
- Surveillance or profiling — use agents to conduct unauthorized monitoring, tracking, or profiling of individuals.
- Harassment or abuse — deploy agents that target, harass, threaten, or intimidate individuals or groups.
- Circumventing safety measures — attempt to bypass content filters, safety systems, or moderation controls of third-party AI models or services.
We reserve the right to suspend or terminate accounts that violate these restrictions, with or without prior notice. Severe or repeated violations may result in immediate termination and referral to appropriate authorities.
8. Third-Party Integrations
The Service allows you to connect third-party tools and services, including MCP servers, API-based integrations, and managed connectors. When you connect a third-party service:
- You authorize Orqestr to interact with that service on your behalf, using the credentials you provide.
- You are responsible for complying with the third party's terms of service.
- Orqestr is not responsible for the availability, accuracy, or security of third-party services.
- Third-party credentials are encrypted at rest using AES-256-GCM encryption, but you assume the risk of granting agent access to external systems.
9. Intellectual Property
9.1 Our Property
The Service, including its software, design, documentation, branding, and all related intellectual property, is owned by Orqestr and protected by applicable intellectual property laws. These Terms do not grant you any rights to our trademarks, logos, or branding.
9.2 Feedback
If you provide feedback, suggestions, or ideas about the Service, you grant Orqestr an unrestricted, perpetual, irrevocable, royalty-free license to use that feedback for any purpose without obligation to you.
10. AI Disclaimer
The Service uses third-party artificial intelligence models to generate Outputs. AI-generated content may be inaccurate, incomplete, biased, or inappropriate.
- Orqestr does not guarantee the accuracy, reliability, or fitness of any Output for any purpose.
- You are solely responsible for reviewing all Outputs before acting on them, publishing them, or relying on them for decisions.
- AI agents interact with connected tools and external systems based on model outputs. Actions taken by agents (e.g., creating issues, sending messages, modifying data) may not be reversible.
- The approval workflow feature is provided as a convenience for reviewing agent work. Its use does not shift liability for Outputs from you to Orqestr.
11. Privacy
Your use of the Service is subject to our Privacy Policy, which describes how we collect, use, and protect your information. By using the Service, you consent to the practices described in the Privacy Policy.
12. Service Availability
We strive to maintain high availability but do not guarantee that the Service will be uninterrupted, error-free, or available at all times. We may modify, suspend, or discontinue any part of the Service at any time with reasonable notice. Scheduled maintenance will be communicated in advance when possible.
13. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE MAXIMUM EXTENT PERMITTED BY LAW, ORQESTR DISCLAIMS ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ORQESTR SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, REVENUE, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO ORQESTR IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).
15. Indemnification
You agree to indemnify, defend, and hold harmless Orqestr and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your Content or Outputs; (c) your violation of these Terms; (d) your violation of any law or third-party rights; or (e) actions taken by agents on your behalf through connected integrations.
16. Termination
16.1 By You
You may close your account at any time by contacting us at [email protected]. Active subscriptions will be cancelled at the end of the current billing period.
16.2 By Us
We may suspend or terminate your access to the Service if you violate these Terms, create risk or legal exposure for the Service or other users, if required by law, or if we discontinue the Service. Where reasonably possible, we will provide notice before termination.
16.3 Effect of Termination
Upon termination, your right to use the Service ceases immediately. We may delete your Content and data after a reasonable retention period (typically 30 days). Sections that by their nature should survive termination (including Sections 6, 9, 10, 14, 15, and 18) will survive.
17. Dispute Resolution
17.1 Informal Resolution
Before filing any formal proceeding, you agree to attempt to resolve disputes informally by contacting us at [email protected]. We will attempt to resolve the dispute within 30 days.
17.2 Binding Arbitration
If informal resolution fails, any dispute, controversy, or claim arising out of or relating to these Terms or the Service shall be settled by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall take place in the State of Delaware, USA. The arbitrator's award shall be final and binding.
17.3 Opt-Out
You may opt out of the arbitration provision by sending written notice to [email protected] within 30 days of creating your account. If you opt out, disputes will be resolved in the state or federal courts located in Delaware.
17.4 Class Action Waiver
You agree that any dispute resolution proceedings will be conducted on an individual basis and not as a class, consolidated, or representative action.
18. Governing Law
These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles.
19. Export Controls and Sanctions
You may not use the Service in violation of applicable export control laws or economic sanctions regulations. You represent that you are not located in, or subject to sanctions from, any jurisdiction where the provision of the Service would be prohibited.
20. Force Majeure
Orqestr will not be liable for delays or failures in performance resulting from events beyond our reasonable control, including natural disasters, infrastructure failures, labor disputes, internet outages, or governmental actions.
21. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will notify you by email or through the Service at least 30 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms. If you disagree with the changes, you must stop using the Service and close your account.
22. General Provisions
- Entire Agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and Orqestr regarding the Service.
- Severability. If any provision of these Terms is found unenforceable, the remaining provisions remain in full effect.
- Waiver. Our failure to enforce any provision does not constitute a waiver of that provision.
- Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms freely in connection with a merger, acquisition, or sale of assets.
